Structured capital, reorganized liabilities.
We structure fundraising for operations and the crop season and reorganize rural debt, always under confidentiality. We act as the producer's advisor in dealings with banks, funds and creditors.
Funding & Debt Restructuring
Positioning
Structured capital, reorganized liabilities.
Brazilian agribusiness runs on capital, and the credit on offer does not always match the reality of those who produce. Between a crop that needs funding and a balance sheet carrying expensive, short-term and fragmented debt lies technical work that few firms do: structuring. That is where Tellus Brasil works.
We structure fundraising with agricultural credit and capital markets instruments (CPR, the Brazilian rural product note; CRA, agribusiness receivables certificates; FIAGRO, agribusiness investment funds; barter; and structured deals with banks, funds and FIDCs, Brazilian receivables funds), always starting from a full diagnosis of the operation: land, crop, cash flow, collateral, liabilities and thesis. On the other side of the balance sheet, we lead the restructuring and extension of rural liabilities, renegotiation with banks and creditors, and the financial reorganization of producers and agribusiness groups.
Tellus is not a bank or a financial institution and does not raise funds from the public. We provide advisory services: we design the transaction, prepare the producer for credit review and lead the negotiation through signing, under confidentiality.
Scope of work
Structured credit
Design and execution of fundraising through CPR, CRA and structured deals with banks, funds and FIDCs, sized to the operation's actual cash flow and available collateral.
Barter transactions
Structuring of input-for-crop exchanges, with balanced contracts among producer, supplier and trading company and legal protection of delivery obligations.
FIAGRO and capital markets
Access for producers and agribusiness groups to capital markets vehicles: preparing the transaction, engaging asset managers and arrangers, and presenting the thesis to investors.
Liability restructuring
Full reorganization of rural debt: mapping of creditors, collateral and maturities, a new debt profile and an extension aligned with the production cycle.
Bank renegotiation
Technical handling of negotiations with banks and creditors, supported by an economic and legal dossier that grounds the proposal and preserves the producer's credit relationships.
Financial reorganization
Reorganization of the finances of producers and agribusiness groups: separating operations from personal assets, cash control and preparing the balance sheet for new funding.
How we operate
How we run each transaction, step by step.
Diagnosis
Full review of the operation and its liabilities: cash flow, collateral, property registrations, contracts and bank positions. Everything that follows builds on an accurate picture of the debt.
Deal architecture
Choice of the instrument and structure that meet the identified need: tenor, target cost, collateral, covenants and order of execution.
Preparation and dossier
Assembly of the materials banks and investors require: complete documentation and auditable figures that support the thesis. The producer enters the negotiation ready for credit review.
Negotiation
Leading discussions with banks, funds, trading companies and creditors, defending the proposed structure and adjusting terms until the parties reach a balanced agreement.
Closing and monitoring
Execution of the instruments, creation and registration of collateral, and monitoring of the agreed obligations through the end of the transaction.

Both sides of the table
We have borrowed as producers and reviewed credit with international audit discipline. We know what a bank looks at because we have done that analysis ourselves.
Legal and financial under one roof
In practice, an agribusiness credit deal is a sequence of contracts and collateral. That is why the legal work, agrarian and registry, is done by the same team that structures the transaction.
Confidentiality
Debt restructuring requires secrecy. We apply the same confidentiality as our off-market portfolio: the producer is not exposed and the transaction does not circulate in the market.
Independence from banks
We do not lend our own funds or originate for our own book. The structure we propose serves only the client's interest.
Common questions before the first conversation.
Does Tellus lend money or guarantee credit approval?
No. Tellus is not a financial institution. We do not lend our own funds, take deposits from the public or guarantee credit approval. We provide advisory services: we structure the transaction, prepare the producer and lead the negotiation with those who hold the capital.
Will my banking situation be exposed during the restructuring?
No. Confidentiality is part of our method. Information circulates only among the parties necessary to the transaction, under a formal confidentiality commitment.
What is the minimum transaction size Tellus works on?
We assess each case by its complexity and thesis as well as its size. As a rule, we work on mid-size and large fundraisings and restructurings, where technical structuring materially changes the terms that can be negotiated.
Does restructuring debt signal weakness to the market?
When handled well, restructuring shows sound governance. Banks and creditors respond better to a borrower who presents an honest diagnosis and a structured plan than to one who stays silent until default.
