Mergers and acquisitions in agribusiness.
Buy-side and sell-side mandates for companies, farm businesses and equity stakes in agribusiness, from valuation to closing, including outreach to strategic investors in Brazil and abroad. Corporate structure, succession and negotiation are handled as parts of a single transaction.
Agribusiness M&A
Positioning
Mergers and acquisitions in agribusiness.
In agribusiness, a corporate transaction is never purely financial. The company changing hands carries land, crops in progress, long-term contracts, off-balance-sheet liabilities and, often, a family history intertwined with the business. That is why Tellus approaches M&A the way it approaches land: the asset is analyzed in full, from land tenure to reputation, before any number is put on the table.
We work on buy-side and sell-side mandates for agribusiness companies, farm businesses and equity stakes: valuation, corporate and succession structuring, due diligence, negotiation and closing, as well as outreach to strategic investors in Brazil and abroad. Every transaction runs under confidentiality, with selective approaches to counterparties and information released in stages, at a pace that protects the value of the business.
We act as independent advisors: we structure, negotiate and coordinate the transaction alongside the client's other advisors, free of the conflict of interest that comes with brokering one's own capital. In corporate transactions, we apply the same methodology we use for rural asset deals: intelligence, execution and consolidation.
Scope of work
Sell-side mandates
Preparing the company, building the sale thesis and approaching qualified buyers and investors, in Brazil and abroad, under confidentiality. We run the whole process, from the anonymized materials to signing.
Buy-side mandates
Origination of targets that are not formally for sale, discreet approach and negotiation on the investor's behalf. No offer is made before the asset has been fully analyzed.
Valuation and modeling
Economic valuation of the company and the assets behind it: land, production, contracts, debt and corporate structure. The number brought to the table has to withstand the other side's due diligence.
Corporate and succession structuring
Design of the transaction and of the company that remains: holding companies, shareholder agreements, governance and family succession, so the deal settles the present without compromising future generations.
Full due diligence
Legal, land title, environmental, accounting, tax, labor and reputational due diligence, integrated with the negotiation. Risks identified before closing are reflected in price and guarantees.
Negotiation and closing
Leading the discussions, definitive agreements and protection mechanisms: escrow, holdback, earn-out and conditions precedent. We follow the agreed obligations through to completion of the transaction.
How we operate
How we run each transaction, step by step.
Thesis and diagnosis
A confidential conversation about where the company stands or the investor's thesis, a preliminary review of the assets and definition of the deal design.
Preparation and structuring
Organizing information, making any prior corporate adjustments and preparing confidential materials, with the company kept anonymous until the right moment.
Qualified outreach
Identifying and selectively approaching counterparties, always under a confidentiality agreement. We speak only with parties that have the real capacity and intent to close.
Negotiation and due diligence
Letters of intent, full due diligence and negotiation of price, guarantees and definitive agreements, run in parallel to keep momentum.
Closing and follow-through
Signing, satisfaction of conditions precedent and closing. We follow payment, transfer of possession and the agreed obligations, including those that extend over time.

Every seat at the table
The partners have bought, sold and operated their own farms, audited business groups and practice agrarian law. Our analysis comes from that practical experience.
Discretion as method
Transactions run off-market, with anonymized materials, contractual confidentiality and controlled exposure. In agribusiness, information that leaks too early reduces the value of the deal.
Full asset review
We assess the company on land tenure, environmental, productive, accounting, tax, labor and reputational grounds. The negotiation is built on that due diligence.
International bridge
Service in Portuguese, English and Spanish, with access to foreign investors interested in Brazilian agribusiness and structures suited to international capital.
Common questions before the first conversation.
How is my company's value determined?
Valuation starts from the assets and the operation (land, production, contracts, debt, liabilities and corporate structure) and is benchmarked against comparable transactions. The final value, however, comes out of the negotiation. Our role is to support and defend that value, without promising numbers.
How is confidentiality preserved during the process?
The company circulates anonymously until there is qualified interest and a signed confidentiality agreement. Information is released in stages as each counterparty advances, and we approach only selected parties, never open lists.
My company is not for sale. Does it still make sense to talk?
Yes. Many significant agribusiness transactions begin off-market, in confidential conversations held before any decision is made. A preliminary review of value and alternatives commits the company to nothing and often anticipates moves the family will make later.
Does Tellus work with foreign investors?
Yes. We work in Portuguese, English and Spanish and structure transactions involving international capital within Brazilian law, including the restrictions on the acquisition of rural land by foreigners, which often require a specific corporate design.
Confidential conversation
Every major transaction starts with a confidential conversation.
Tell us where your company stands or what your investment thesis is. The first conversation is confidential and carries no commitment.
